[PADG:393] license language for long term access

Good morning.
Hope you all had a lovely weekend.
I was wondering if
any of you could forward me a copy of license language your library uses
with vendors of electronic resources? I am wanting to add a paragraph or
two to the standard contract UF uses to ensure that we are guaranteed long term
access to the files provided on vendor servers that we currently
rent/lease/subscribe to/buy.
I am especially
interested in language that describes how access to the files
is provided after the contract has ended. Many contracts simply say
something like 'provide machine readable copy of the licensed materials..." or
something like that. However, since we are not interested in having 5,000
CD's dumped on our doorstep, I was looking for something a little more
explicit...
If you have a copy
of the license (or even the relevant paragraphs or sections) that you can share
with my electronically, that would be great.
